Terms and Conditions for Participation in Wayfair Campaign (“Terms and Conditions”)

These Terms and Conditions apply to every campaign offered by Wayfair on the LoudCrowd Platform (“Campaign”) and by participating in such a Campaign, you agree to be bound by these Terms and Conditions. Additional terms and conditions specific to a given Campaign might be detailed in the respective Campaign’s description, e.g., a Campaign’s start and end date and the specifics of participation and remuneration where applicable. Please also make sure you have read and understood the Privacy Policy before participating and take note that further terms and conditions might apply to your use of the LoudCrowd Platform as provided by LoudCrowd, Inc.

1. Acceptable Use. You acknowledge Wayfair’s ability to advertise, market, and promote your services without controversy or negative public relations implications is a material inducement to your participation in a Campaign. Therefore, by participating you warrant and represent that: (a) you will act with professionalism at all times; (b) you will refrain from any conduct that can reasonably be considered in conflict with public morals, conventions, or Wayfair’s brand image and that might bring you and/or Wayfair into public disrepute, contempt, scandal or ridicule. Such conduct may include the uploading, posting, or other transmissions of any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, hateful, or racially, ethnically, or otherwise objectionable; (c) you will comply with all applicable laws and regulations during your participation in a given Campaign. This may include the appropriate labeling of all social media posts as advertisements; (d) you will comply with all guidelines, terms, and conditions as they might apply to the use of social media platforms and tools as provided by the respective operator.
2. Content Licenses. By participating in a Campaign, you grant Wayfair an unrestricted, irrevocable, exclusive, perpetual, worldwide, sublicensable, royalty-free right and license to use, display, and publish all content, imagery, materials, and articles created by you in connection with and as a result of your participation in a Campaign in any and all marketing materials, on websites and through all social media channels with or without credit. As far as you submit content via the LoudCrowd Platform, you grant Wayfair an unrestricted, irrevocable, exclusive, perpetual, worldwide, sublicensable, royalty-free right and license to sublicense such content to LoudCrowd, Inc. for analytics purposes, to provide, improve, and monitor their services. You warrant and represent that any content, imagery, materials, and articles do not infringe, misappropriate, or violate any intellectual property or other rights of any person or entity. “Wayfair”, the Wayfair logo and other trade names, trademarks, designs, and copyrighted materials (including these Terms and Conditions) are the Intellectual Property of Wayfair, and Wayfair retains all rights, title, and ownership interest therein. Wayfair allows you to use its Intellectual Properties for the use specified in the respective Campaign details and to the extent necessary and for the purpose of participating in a given Campaign.
3. General. You are only eligible to join a Campaign if all your participating accounts on different social media platforms have 500 followers or more respectively. You may only participate in a Campaign if you are able to enter into legally binding contracts and only with one account per social media platform and Campaign - participating with more than one account per social media platform in a Campaign is not permitted. There is no fee and no purchase necessary for participating in a Campaign unless it’s specified in the Campaign’s description. You and Wayfair are independent contractors. Nothing herein shall be deemed to create a principal-agent, employer-employee, joint venture, or partnership relationship between you and Wayfair.

Wayfair reserves the right to remove you from participation in one or more Campaigns at its sole discretion without further warning. If you have already provided content in accordance with all applicable Terms & Conditions by the time Wayfair removes you from participation, you will receive the respective reward. Wayfair also reserves the right to amend these Terms and Conditions from time to time without prior notice. The Terms and Conditions that will apply to your participation will be those applicable at the date you enter your participation.
